These terms govern the use of the FTP EDI platform and related services ("the Service") by business customers. By signing an order form, accepting a proposal or using the Service you agree to them on behalf of your organisation. A signed agreement takes precedence over these terms where they differ.
1. The Service
FTP EDI receives, validates, translates, delivers and archives electronic trading documents between you and your trading partners, and provides the related portal, API, labels, alerts and support described on this website. We will provide the Service with reasonable skill and care and in line with the plan you have chosen.
2. Plans, fees and payment
- Plans are billed monthly in advance in pounds sterling, with document overage billed in arrears at the rate on your plan.
- Fees are exclusive of VAT. Invoices are payable within 30 days.
- We may change plan prices with 60 days' notice; changes take effect at your next renewal.
- Onboarding and integration work is quoted separately and invoiced on completion of each stage.
3. Your responsibilities
- Keep your account credentials secure and tell us promptly about any unauthorised access.
- Provide accurate master data, retailer contacts and system access needed for onboarding.
- Review documents held in test mode and approve go-live for each trading partner.
- Ensure you have the right to send us any data you submit, including personal data on trading documents.
- Comply with your trading partners' own agreements; the Service helps you meet their requirements but does not replace your obligations to them.
4. Availability and support
We target 99.9% monthly availability for the platform, excluding planned maintenance notified at least 48 hours in advance. Service credits, where included in your plan, are set out in your order form. Support is available by email and phone on UK working days; alerting and document processing run continuously.
5. Data
You own your trading documents and master data. You grant us a licence to process them to provide the Service. We act as your processor for personal data within them, under the data processing terms in your agreement and our privacy policy. Documents are retained for the period set on your account (seven years by default) and can be exported by you at any time in raw and structured form. On termination we make your data available for export for 60 days and then delete it.
6. Acceptable use
You must not use the Service to send unlawful content, to attempt to access other customers' data, to interfere with the platform's operation, or to resell the Service without a written partner agreement.
7. Intellectual property
We own the platform, templates, rule sets and documentation. You may use them only as part of the Service. Retailer names and specifications referenced on the Service belong to their respective owners.
8. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, loss of profit or loss of business, and our total liability in any 12-month period is limited to the fees paid by you for the Service in that period. We are not liable for charges, deductions or refusals imposed by your trading partners except to the extent caused by our breach of these terms.
9. Term and termination
Plans renew monthly until either party gives 30 days' notice. Either party may terminate immediately if the other commits a material breach that is not remedied within 30 days of notice, or becomes insolvent. We may suspend the Service for non-payment after 14 days' notice.
10. General
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction. Neither party is liable for failure caused by events beyond its reasonable control. If any clause is unenforceable the rest remain in force.
